Terms and Conditions of Sale

1. Introduction

Welcome to Patternbox.com (“Patternbox,” “we,” “us,” or “our”). These Terms and Conditions of Sale (“Terms”) govern every purchase of embroidery design files, digital patterns, and any related products or services (collectively, “Products”) made through Patternbox.com (the “Site”). By placing an order, clicking “I accept,” or otherwise purchasing or downloading Products, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Definitions

Digital Pattern – A downloadable embroidery design file in one or more machine‑readable formats.
Physical Goods – Any tangible products (e.g., USB drives, printed stitch guides) that may be offered periodically.
License – The limited rights granted to you under § 8 to use a Digital Pattern.

3. Acceptance of Terms

These Terms—together with any order confirmation, invoice, or separate written agreement signed by Patternbox—form the entire contract between you and Patternbox. Any additional or conflicting terms proposed by you (e.g., in a purchase order) are expressly rejected unless we agree in writing.

4. Electronic Communications

You consent to receive all contracts, notices, receipts, and other records in electronic form. It is your responsibility to maintain a current, valid e‑mail address.

5. Ordering & Payment

Order Acceptance. All orders are subject to our acceptance. We reserve the right to refuse or cancel any order at our discretion.
Payment Methods. We accept major credit/debit cards and other payment options shown at checkout.
Authorization. By providing payment information, you authorize Patternbox (or its payment processor) to charge the total order amount, including applicable taxes and fees, to your chosen payment method.

6. Pricing & Availability

Prices are listed in U.S. dollars (USD) unless otherwise stated and may change without notice. We strive for accuracy but errors may occur; we may cancel an order if the price or availability was incorrect at the time of purchase.

7. License & Permitted Use of Digital Patterns

License Grant. Upon full payment, Patternbox grants you a non‑exclusive, non‑transferable, perpetual license to use the Digital Pattern for personal use and limited commercial use (e.g., stitching the design on items you sell) up to 500 finished pieces per design, unless a different license tier is purchased.
Prohibited Uses. You may not resell, share, sublicense, gift, upload to public repositories, or otherwise distribute the Digital Pattern file itself.
Intellectual Property. All copyrights and other IP rights remain with Patternbox or its licensors.

8. Delivery of Digital Goods

Digital Patterns are delivered immediately after payment via (i) a download link on the confirmation page and (ii) a link sent to your registered e‑mail. Ensure you download and back up your files; links may expire after 30 days.

9. Physical Goods – Shipping, Title & Risk of Loss

If we ship Physical Goods:

Title and risk of loss pass to you when we hand the package to the carrier.
Shipping costs and any customs, duties, or taxes are your responsibility.
Delivery dates are estimates, not guarantees.

10. Return & Refund Policy

Digital Patterns: Because they are instantly downloadable and irrevocable, all sales are final. If a file is corrupt or mislabeled, contact support within 7 days for a replacement file or store credit.
Physical Goods: You may request a return within 5 days of receipt. Returns must be unused, in original packaging, and shipped at your expense. A 15 % restocking fee may apply. Contact us at [email protected] for an RMA number before returning any item.

11. Damaged or Defective Physical Goods

Refuse delivery of visibly damaged packages or note the damage on the carrier’s record. Retain all packaging and notify us at [email protected] within 10 days so we may arrange inspection and replacement.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATTERNBOX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT OR SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THAT PRODUCT OR SERVICE.

13. Force Majeure

We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, war, labor disputes, cyber‑attacks, or governmental actions.

14. Governing Law & Jurisdiction

These Terms and any dispute shall be governed by the laws of the Kingdom of Morocco, without regard to conflict‑of‑law principles. You consent to the exclusive jurisdiction of the courts of Casablanca, Morocco.

15. Dispute Resolution – Arbitration

At our election, any dispute arising under these Terms shall be finally settled by binding arbitration in Casablanca under the Rules of the Moroccan Center for Mediation and Arbitration. Judgment on the award may be entered in any court having jurisdiction. Either party may seek injunctive relief in court for IP or confidentiality breaches.

16. Amendments

We may update these Terms from time to time. Changes apply to future purchases only. The “Effective Date” above will be updated accordingly.

17. Severability

If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum extent permissible and the remainder shall remain in full force.
